3. Orders, Pricing, and Payments

  • Order Acceptance: All orders are subject to acceptance and availability. We reserve the right to refuse or cancel any order for any reason, including limitations on quantities available for purchase, inaccuracies in product or pricing information, or issues identified by our credit and fraud avoidance department.
  • Pricing: Prices for commodities are subject to market fluctuations and may change without notice prior to order confirmation. The price charged will be the price in effect at the time the order is finalized.
  • Invoicing and Payment: Payment terms will be specified on your invoice. By doing business with us, you agree to pay all charges at the prices then in effect for your purchases, and you authorize us to charge your chosen payment provider. Late payments may be subject to interest charges as permitted by California law.

4. Shipping, Delivery, and Third-Party Distributors

  • Fulfillment: We utilize a network of third-party logistics partners, freight carriers, and partner distributors to fulfill and deliver orders.
  • Delivery Estimates: Delivery dates are estimates only and are not guaranteed. We are not liable for any delays in shipments.
  • Risk of Loss: Unless otherwise specified in your specific purchasing agreement, the risk of loss and title for items purchased from us pass to you upon our delivery of the items to the carrier.

5. SMS & Text Messaging Program Terms

As part of our Services, we offer an SMS/text messaging program to keep you informed about your account, orders, and invoices.

  • Opt-In: By providing your mobile phone number, requesting our services, or paying an invoice, you consent to receive automated and personalized operational text messages from Lasuma Distribution, Inc. at (844) 527-8623.
  • Opt-Out: You can cancel the SMS service at any time. Simply text "STOP", "QUIT", or "UNSUBSCRIBE" to (844) 527-8623. Upon sending "STOP," we will send you one final message to confirm you have been unsubscribed. After this, you will no longer receive SMS messages from us.

  • Cost and Frequency: Carriers are not liable for delayed or undelivered messages. Message and data rates may apply for any messages sent to you from us and to us from you. Message frequency varies based on your business activity with us.

In no event shall Lasuma Distribution, Inc., its directors, employees, or third-party logistics partners be liable for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, or loss of data arising from your use of the Site or our Services, even if we have been advised of the possibility of such damages.

Our total maximum liability to you for any damages arising out of or related to these Terms or your use of the Services shall be limited to the amount you paid to us for the specific commodities in dispute.

9. Governing Law and Dispute Resolution

These Terms and your use of the Site and Services are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in San Bernardino County, California, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time. We will alert you about any changes by updating the "Effective Date" of these Terms.
